Terms of Service
Last updated: October 22, 2026
These Terms of Service (the “Terms”) govern your access to and use of ClipHaus (the “Service”), a podcast clipping platform and agency service operated by ClipHaus (“we”, “us”, or “our”). By creating an account, submitting an episode, accepting an assignment, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a business, podcast, or other organisation, you confirm that you have authority to bind that organisation to these Terms, and references to “you” in these Terms include that organisation.
1. The service
ClipHaus turns client-submitted podcast episodes into short-form clips for use on short-video platforms. In outline, the Service provides:
- Episode intake. Clients submit podcast episodes, usually by providing a link to the source episode together with episode metadata, show information, and any notes about moments, topics, or formats they want covered.
- Clipping and production. Editors working with ClipHaus select moments from submitted episodes and produce finished clips, which may include cutting, reframing, captioning, titling, and other edits described in the client’s package or brief.
- Review and delivery. Finished clips are checked for quality, presented to the client for review in the dashboard, revised where the client’s package allows, and then delivered for the client to download and publish.
- Dashboards. Separate dashboard views for administrators, editors, and creators (clients), covering shows, episodes, clip jobs, review and revision requests, quotas, invoices, and payouts.
The Service is a production and delivery tool. We do not publish clips to your channels unless a package or written agreement expressly says so, and we do not provide audience growth, monetisation, or platform-placement guarantees. Any delivery times, turnaround targets, or format specifications shown in the dashboard or in a package description are targets we work to in good faith, not guaranteed deadlines, unless a written agreement signed by both parties states otherwise.
2. Platform licence and permitted use
Subject to these Terms, ClipHaus grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform provided through the Service for your own internal business use in connection with the podcast shows and accounts you manage through the Service. There is no separate end user licence agreement for the platform: this licence, and the rest of these Terms, are the complete licence terms.
This licence does not transfer any ownership of the platform, our software, our workflows, or our branding to you. You may not copy, resell, sublicense, rent, or make the platform itself available to third parties, except that members of your organisation may use your approved account as described in Section 3.
3. Accounts and approval
3.1 Creator accounts
Anyone may start a creator sign-up, but every new creator account starts in a pending state. A pending account cannot submit episodes, use package quota, or commission work until we approve it. We approve accounts at our discretion, for example to check that the show is a genuine podcast, that the person signing up is connected to the show, and that we have production capacity. We may decline or delay approval without giving a reason, and approval of one account does not guarantee approval of any other account.
Public sign-up always creates a pending creator account, whatever role or status information is supplied during sign-up. Roles and account status can only be changed by ClipHaus through our own administrative processes.
3.2 Editor accounts
Editor accounts are invite-only. You may only use an editor account if we have invited you and issued that account to you personally. Editor accounts are also subject to Section 6.
3.3 Administrator accounts
Administrator accounts are issued by ClipHaus to its own operators only and are not available to clients or editors.
3.4 Account responsibilities
- You must provide accurate account, organisation, and show information and keep it up to date.
- You are responsible for activity that happens under your account, including submissions, comments, approvals, and downloads made by people you allow to use it.
- You must keep your login credentials private. Sharing credentials is prohibited under our Acceptable Use Policy.
- You must tell us promptly at support@arafatarzu.me if you believe your account has been accessed without your permission.
- You must be legally able to enter into these Terms in the place where you operate.
4. Client content and rights warranty
4.1 What client content is
“Client Content” means everything a client submits to the Service, including episode links and any episode files, audio and video recordings, show artwork, titles, descriptions, metadata, notes, briefs, brand assets, and comments or revision requests.
4.2 Your rights warranty
By submitting Client Content, you warrant and represent that:
- you own the Client Content, or you hold all rights, licences, consents, and permissions needed from every relevant rights holder (including hosts, guests, producers, networks, publishers, and any person whose voice, image, music, footage, or other material appears in it) to submit it to us and to have it edited and turned into clips;
- having the Client Content clipped, captioned, titled, and delivered as finished clips, and publishing those clips as contemplated by your package, will not infringe the copyright, trade mark, privacy, publicity, contractual, or other rights of any person;
- the Client Content is not subject to any restriction, exclusivity arrangement, embargo, or platform or network term that your use of the Service would breach; and
- the information you give us about the episode, the show, and your rights in it is accurate.
We rely on this warranty. We do not clear rights in Client Content, and submitting content to us does not transfer to us any obligation to check whether you hold the rights you claim.
4.3 Licence you grant to us
You grant ClipHaus a non-exclusive, worldwide, royalty-free licence, for the period needed to provide the Service, to access, host links to, copy where reasonably necessary for production, edit, cut, reframe, caption, transcribe for captioning purposes, title, compress, store, back up, and deliver the Client Content, and the finished clips made from it, solely in order to operate the Service for you, carry out quality control, and meet the obligations in these Terms. This licence includes the right to let our editors and the service providers described in our Privacy Policy handle the material on the same limited basis. It does not allow us to sell your episodes, publish your clips as our own, or use your content for unrelated clients.
4.4 Ownership of client content
ClipHaus acquires no ownership of your Client Content. As between you and us, your episodes and the rights in them remain yours or your licensors’.
4.5 Ownership of finished clips
Subject to Section 6.2 for editor work product and to payment in full of the amounts due for the relevant work, finished clips delivered to you belong to you once delivered, and you may publish and reuse them for your show and your business. Until amounts due for those clips are paid, we may withhold delivery or further work, and your right to publish clips that have not been paid for is limited to the extent permitted by law and any written agreement between us. Our own platform, templates, workflows, know-how, and any pre-existing materials we own remain ours, even where they were used to produce a clip.
5. Source footage and links
The Service is link-first. In the ordinary case you provide a link to an episode hosted elsewhere, and we work from that link rather than ingesting or permanently storing your source footage. If you choose to send us source material by another route, these Terms apply to it in the same way, and we may delete working copies once the related job is closed. You are responsible for keeping your own masters and backups of your episodes.
6. Editor terms
This Section applies to every person who works on clips through the Service as an editor, in addition to the rest of these Terms.
6.1 Independent contractors
Editors work with ClipHaus as independent contractors, not as employees, partners, or agents of ClipHaus or of any client. Nothing in these Terms or in the use of the dashboard creates an employment relationship. Editors are responsible for their own taxes, equipment, software licences, and working arrangements, except where a separate written agreement says otherwise.
6.2 Work product and assignment of rights
Work an editor produces through the Service, including edits, captions, titles, and other material created for an assignment, is work made for hire to the fullest extent permitted by law. To the extent any such work does not qualify as work made for hire, the editor assigns to ClipHaus all right, title, and interest in it on payment for that work, so that the finished clips can be delivered to and owned by the client as described in Section 4.5. Editors waive, and agree not to assert, any right to be credited in a finished clip or to object to edits of their work made during quality control or revision, except where a mandatory law gives a right that cannot be waived.
6.3 Confidentiality
Client episodes and clips are often unreleased. Editors must keep all Client Content, finished clips, client comments, show information, and business information they see through the Service confidential, must only use it to complete their assignments, and must not disclose, publish, or share it with anyone outside the assignment. This duty continues after an editor account is closed.
6.4 No reuse of client footage
Editors must not reuse, copy for personal use, keep local archives of, post, sell, train models on, or use in a personal portfolio any client footage, audio, clips, captions, or artwork obtained through the Service, unless the client and ClipHaus have both given prior written permission for that specific use. Portfolio use of a published clip, by linking to the client’s own published post, also requires that prior written permission.
6.5 Editor conduct
- Accept only assignments you can complete to the required standard and deadline.
- Upload finished clips only through the dashboard upload flow provided for the job, to the path authorised for that job.
- Do not contact clients outside the dashboard about an assignment unless an administrator asks you to.
- Do not share your account, and do not let another person work under your editor account.
- Follow the Acceptable Use Policy at all times.
6.6 Editor pay
Editor rates, per-clip pay, and payout timing are as shown in the dashboard or agreed in writing for the relevant work. Pay for a clip is earned when that clip first passes our quality control, as recorded in the dashboard, and is recorded as a payout line for that clip. Later creator revisions, creator rejection after quality control, job cancellation, or a client’s non-payment do not by themselves reverse pay already earned, except for documented corrections such as a duplicate entry, a calculation error, payment to the wrong person, an invalid quality-control pass, or a rights problem with the work, which we may correct with an adjustment entry and an explanation in the payout record.
7. Copyright takedown
We respect the rights of copyright owners and other rights holders. If you believe that material submitted to, produced by, or delivered through the Service infringes your rights, please follow the notice and counter-notice process in our Copyright Policy, which forms part of these Terms. Clients remain responsible for the rights warranty in Section 4.2, and accounts that repeatedly submit infringing material may be suspended under that policy.
8. Packages, quota, and revisions
8.1 Packages
The Service is offered in packages. Each package, as described at the time of purchase, sets the price, the billing period, the number of finished clips included, the shows and episode volume covered, the revision allowance, and any format or turnaround terms. The package description shown at purchase, together with these Terms, is the agreement for that package. If a package description conflicts with these Terms on a specific point, the package description controls for that package and period.
8.2 Monthly clip quota
Each package includes a monthly allowance of finished clips. Quota is counted per billing cycle for your organisation, using the cycle dates and timezone shown in your dashboard. A clip counts against quota when it is delivered, or when it is otherwise formally closed as delivered, posted, archived, or cancelled with quota reconciliation recorded in the dashboard. Reserving quota for a job in progress does not by itself deliver a clip.
Unused quota does not roll over to a later cycle, is not refundable, and has no cash value, unless your package description or a written agreement expressly says otherwise. Work requested beyond your remaining quota requires a package upgrade, an add-on, or our written agreement, and may be paused until that is in place.
8.3 Revisions
Each package includes the number of revision rounds configured for that package, as shown at purchase and in your dashboard. A revision round is one consolidated set of change requests on a delivered clip, submitted through the dashboard review flow. Requests that change the brief, use a different part of the episode, or ask for a substantially new clip are new work, not a revision, and count against quota accordingly. We may decline revision requests that fall outside the package allowance, and we will record revision requests and our quality-control decisions in the dashboard.
8.4 Pilot packages
Where we offer a pilot or trial package, the pilot terms shown at purchase apply, including the number of clips included, the pilot price, any credit of the pilot price toward a later package, and the credit’s expiry. A pilot does not create an ongoing subscription or any obligation to continue after the pilot clips are delivered, and standard package quotas and revision allowances apply only where the pilot description says so.
8.5 Job completion
An episode or job is complete only when every clip in it has been delivered, posted, archived, or cancelled, or when any remaining work is formally closed with quota reconciliation recorded. Dashboard status records are the record of completion.
9. Payment
9.1 Invoices
We invoice for packages, add-ons, and other agreed charges. Each invoice records the items charged, with the package, rate, and quota terms as they stood when the charge arose, the amount due, and the due date. All amounts are recorded and payable in the currency shown on the invoice, and money amounts in the Service are handled in the smallest unit of that currency. You are responsible for any taxes, duties, or bank and transfer charges that apply to your payment, except taxes on our own income.
9.2 Due dates and overdue invoices
Payment is due by the due date shown on the invoice. An invoice is overdue when its due date has passed and any part of its balance remains outstanding. Overdue status follows from the due date and the outstanding balance; it does not depend on a separate notice from us, although we will normally notify you through the dashboard or by email. While an invoice is overdue we may pause new work, hold delivery of finished clips, and decline package renewals until the balance is cleared, and we may charge late interest or a late fee only where your package terms or a written agreement provide for it.
9.3 Payment methods in this version
In the current version of the Service, payment is made by the manual payment methods we confirm to you in writing (for example, a bank transfer or a mobile money transfer to the account details given on or with your invoice). Pay only to the details we give you on an invoice or from contact@arafatarzu.me; we are not responsible for payments sent to details supplied by anyone else. A payment is treated as received when the funds clear into our account, and we record cleared payments against the relevant invoice in the dashboard.
9.4 Disputes
If you believe an invoice is wrong, tell us at contact@arafatarzu.me within 14 days of the invoice date, identifying the item in dispute. Pay the undisputed part on time. We will review the disputed item and correct genuine errors.
9.5 Refunds
Fees for work already delivered are not refundable. If we cancel a package before the work it covers has been produced, we will refund or credit the part of the fee that relates to work not produced, at our reasonable discretion and in line with any package terms shown at purchase.
10. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which forms part of these Terms. That policy covers, among other things, submitting only content you have rights to, not using clips to misrepresent speakers, not using the Service for spam or fake engagement, and not probing, scraping, or abusing the platform.
11. Privacy and cookies
Our Privacy Policy explains what information we collect, where it is stored, how long we keep it, and the service providers we use. Our Cookie Policy explains the essential cookies the platform uses. Both policies form part of these Terms.
12. Service availability
We work to keep the Service available and the dashboards accurate, but the Service is provided on an “as available” basis. We may change, suspend, or withdraw parts of the Service, carry out maintenance, or rely on third-party hosting, storage, and email providers whose availability we do not control. We do not promise uninterrupted access, error-free operation, or that files will be available after the retention periods described in our Privacy Policy. You are responsible for downloading and keeping your own copies of delivered clips promptly after delivery.
13. Liability limits
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud or for death or personal injury caused by negligence.
To the fullest extent permitted by law:
- we are not liable for loss of profits, revenue, audience, subscribers, sponsorship, goodwill, or business opportunity, or for any indirect or consequential loss, arising from your use of the Service or from the publication, performance, demonetisation, or removal of any clip by a platform;
- we are not liable for the content of your episodes or clips, for the rights position of material you submit (see Section 4.2), or for decisions you make about what to publish;
- our total liability to you in connection with the Service, in any 12-month period, is limited to the total fees you paid to us for the Service in that period or, if you paid no fees in that period, the equivalent of one month of the package you most recently held; and
- any claim must be brought within 12 months of the event that gave rise to it becoming known to you.
Where you are a consumer and mandatory consumer law gives you rights that these Terms cannot reduce, those rights are unaffected.
14. Indemnity
You agree to indemnify ClipHaus against claims, damages, costs, and reasonable legal fees that arise from your Client Content, from a breach of the rights warranty in Section 4.2, from your publication of delivered clips, or from your breach of these Terms or the Acceptable Use Policy. Editors agree to indemnify ClipHaus against claims arising from their breach of Section 6, including any unauthorised use or disclosure of client material.
15. Termination
15.1 By you
You may stop using the Service and ask us to close your account at any time by contacting support@arafatarzu.me. Closing an account does not cancel invoices already issued, quota already used, or obligations that arose before closure.
15.2 By us
We may suspend or terminate an account or access to the Service, with notice where it is reasonable to give it, if you breach these Terms or the Acceptable Use Policy, if an invoice remains overdue, if your account was not or is no longer approved, if we are required to do so by law or by a valid rights-holder process, or if we discontinue the Service. We may suspend an account immediately and without prior notice where continued access risks harm to the platform, to other users, or to rights holders.
15.3 What happens on termination
- Your licence to use the platform ends, and dashboard access may be removed.
- Delivered clips that you have paid for remain yours, as described in Section 4.5.
- Undelivered work may be withheld where amounts remain outstanding, subject to applicable law.
- We will handle stored information as described in the Privacy Policy, including its retention rules.
- Sections on client content ownership, editor work product and confidentiality, payment, liability, indemnity, and this Section survive termination.
16. Changes to these Terms
We may update these Terms from time to time, for example when the Service, our packages, or the law changes. When we make a material change we will update the date at the top of this page and, where the change affects active clients or editors, notify account holders by email or through the dashboard before the change takes effect where it is practical to do so. Continuing to use the Service after updated Terms take effect means you accept them. Changes do not retroactively change the price, quota, or rights position of work already invoiced or delivered under an earlier version.
17. General
- Entire agreement. These Terms, the policies they link to, and your package description are the entire agreement between you and us about the Service, and replace any earlier understandings about it.
- Severability. If any part of these Terms is found unenforceable, the rest continues in force, and the unenforceable part will be read as narrowly as needed to make it enforceable.
- No waiver. Not enforcing a term once is not a waiver of it.
- Assignment. You may not assign your account or these Terms without our written consent. We may assign these Terms in connection with a reorganisation or sale of the business operating the Service, on notice to account holders.
- Notices. Notices to us must be sent to legal@arafatarzu.me. Notices to you may be sent to the email address on your account or shown in your dashboard.
